Terms of Sale
Acceptance – Any order for FallsX products is subject to acceptance by Turun UK Ltd. (Seller) at its offices in London, by a sales memorandum, email or other written confirmation promising to ship the goods as ordered. Please allow two weeks for delivery of your order.

Inspection – Buyer shall inspect the goods immediately upon delivery. Failure to inspect and notify Turun UK Ltd. in writing of any defect within three days after delivery shall constitute a waiver of buyer’s right of inspection and shall be equivalent to acceptance of the goods.

Payment – Payment in full for the product must be received prior to shipment. Credit accounts with terms of Net 14 Days may be established upon approval of Turun UK Ltd. Unpaid accounts are subject to interest at 1.5% per month calculated from the date of the invoice to the date of payment both before and after judgement. Turun UK Ltd. retains a lien over the goods until all sums due hereunder are fully paid.

Title – Responsibility for the product shall pass to buyer at the time of delivery.

Warranty & Disclaimer – FallsX products are warranted by Turun UK Ltd. to be free of manufacturing defects for a period of one year from the date of purchase. If any defects covered by this Warranty appear within the above stated one-year period, Turun UK Ltd. will, at its option, repair or replace the defective component on an exchange basis with new or rebuilt parts at its expense, without charge for parts or labour. Turun UK Ltd. is not responsible for warranty service should the FallsX label or logo or the serial number be removed or should the FallsX product fail to be properly maintained or fail to function properly as a result of misuse, abuse, neglect, improper shipping or installation, incorrect wiring not our own, damage caused by disasters, such as fire, flood, and lightning, damage caused by faulty or leaking batteries not supplied by Turun UK Ltd. Postage, insurance, or shipping costs incurred in presenting your FallsX product for warranty service are the Buyer’s responsibility.

The forgoing warranties are exclusive and in substitution for, and buyer hereby waives, releases and renounces, all other warranties, obligations and liabilities of Turun UK Ltd. and all other rights, claims and remedies of Buyer against Turun UK Ltd. expressed or implied. Arising by law or otherwise with respect to any non – conformance or defect in items or services purchased hereunder, including, but not limited to: (a) any implied warranty of merchantability of fitness for a particular purpose; (b) any implied warranty arising from course of performance, course of dealing or usage of trade; (c) any obligation, liability, right, claim or remedy for loss of, damage to, any equipment.

Turun UK Ltd. shall have no obligation or liability, whether arising in contract, tort or otherwise, for loss of use, revenue or profit, cost of capital, cost of substitute equipment, additional costs incurred by Buyer, Buyer’s customers or other third – parties, for damages resulting from personal injury or property damage or any other incidental or consequential damages with respect to any non – conformance or defect in any items provided hereunder.

Entire Agreement – No agent, employee, or representative of Turun UK Ltd. has any authority to bind the seller to any affirmation, representation, or warranty concerning the products sold under these Terms of Sale, and unless an affirmation, representation, or warranty made by an agent, employee, or representative is specifically included within these Terms of Sale, the Terms of Sale shall be controlling.

Modifications – These Terms of Sale can be modified or amended only in writing signed by both parties of their duly authorized agents. In the event of any inconsistency between the terms of any purchase order submitted by Buyer and the provisions of these Terms of Sale, the Terms of Sale shall be controlling.

Indemnity – Buyers agree to read and follow all operating instructions provided with the FallsX products and perform regular testing as specified in the operating instructions. If Buyer fails to comply with all operating instructions, testing requirements, and warnings accompanying the equipment, Buyer shall indemnity, defend and save Turun UK Ltd., it’s a agents and employees harmless from and against all claims, liabilities and civil penalties, including costs and expenses (including attorneys fees) incident to Buyers failure to comply or incident to successfully establishing the right to indemnification for injury to or deaths of any person or persons, including employees of Buyer, or for loss or damage to any property, including equipment, or for any incidental or consequential damages arising out of Buyers failure to comply.

Cancellation and Refund Policies

Cancellation Policy:
Orders may be cancelled in writing up until the time of shipment.

Refund Policy:
Unused and undamaged FallsX product may be returned for refund within seven days of delivery. Customers wishing to return any merchandise must obtain a Return Authorization Number by calling FallsX. Equipment that shows evidence of use or has been damaged or is returned without a FallsX Return Authorization Number is not eligible for refund.
